Measures for Management of
Recommended Services Suppliers for Participants of
World Expo 2010 Shanghai China
Chapter I General
Article 1 In order to achieve better management upon
Recommended Services Suppliers for Participants of World Expo 2010 Shanghai
China (hereinafter known as "Recommended Services Suppliers") and their
services, the Bureau of Shanghai World Expo (hereinafter known as Expo Bureau)
formulates the Measures for Management of Recommended Services Suppliers for
Participants of World Expo 2010 Shanghai China (hereinafter known as Measures
for Management) in accordance with relevant Chinese laws, regulations and rules.
Article 2 According to the provisions of the Application for
Registration of World Expo 2010 Shanghai China as well as the convention of
World Expos, the Recommended Services Suppliers mentioned in the Measures for
Management are those contractors (recommended by the Expo Bureau) who are
authorized to provide all kinds of commercial services to the Expo participants
in preparation of their pavilions, exhibitions and other participation related
issues.
Article 3 Shanghai World Expo Operation and Management Co.,
Ltd. (hereinafter known as Supervisor) is authorized (by the Expo Bureau) to
recruit, select and supervise the Recommended Services Suppliers. It will openly
or internally recruit and select the Recommended Services Suppliers, with the
principle of "open, fair and just".
Chapter II Service Management
Article 4 The Recommended Services Suppliers shall openly
release relevant information including service product mix, service procedures
and charges, and ensure the correctness, accuracy and completeness of such
information.
Article 5 The Recommended Services Suppliers shall enter
into a separate service contract with the Expo participants after bilateral
negotiations in accordance with relevant Chinese laws, regulations, rules, the
Measures for Management and other provisions stipulated by the Expo Bureau. The
recommendation made by the Supervisor constitutes no guarantee of a contract
award. The Expo participants have the right to engage other services suppliers.
Article 6 The Recommended Services Suppliers shall submit
copy of the service contract to the Supervisor for archive within 5 working days
after signing of the contract.
Article 7 The Recommended Services Suppliers shall provide
specific and professional services of high quality to the Expo participants in
an earnest and devoted manner as required by the contract.
Article 8 The Recommended Services Suppliers shall arrange
trainings related to the Expo background information, relevant laws and
regulations and rules, and international etiquette, etc, for their legal
representatives, high level management staff, and personnel who will have direct
contact with the Expo participants while providing relevant services.
Article 9 The Recommended Services Suppliers shall give the
best offer for their services of the same level and quality grade.
Article 10 The Recommended Services Suppliers shall properly
maintain a service information record, including service time, location, target,
mode and performance, etc. As required, the record should be submitted to the
Supervisor.
Article 11 Working personnel of the Recommended Services
Suppliers shall be provided with relevant permits for access to the Expo Area
while providing relevant services as required. They shall also abide by relevant
rules and regulations stipulated by the Expo Bureau.
Article 12 The Recommended Services Suppliers are not
allowed to transfer the major scope of work to any third party/subcontractor or
transfer the whole scope of work to several subcontractors.
Article 13 In case that the Recommended Services Suppliers
will have to engage a subcontractor for some limited scope of work according to
standard practice of the industry or due to other specific causes, copy of the
subcontract should be submitted to the Supervisor for archive. Under the
circumstances, the Recommended Services Suppliers shall be responsible for the
performance of the subcontractor, who shall provide relevant services in its own
name (i.e. no sub-subcontractor is allowed).
Chapter III Propaganda Management
Article 14 The Recommended Services Suppliers shall strictly
abide by the Regulations on the Protection of World Exposition emblems
(promulgated by State Council of the People's Republic of China and implemented
on Dec. 1, 2004), the Measures for Management of Utilization of World Exposition
emblems (formulated by the Expo Bureau and implemented on April 26, 2005) and
other relevant rules and regulations.
Article 15 The Recommended Services Suppliers are not
allowed to take any advertising or promotional activities in the name of
"Recommended Services Suppliers" or using the identity of "Recommended Services
Suppliers" in any way.
Article 16 Without authorization, the Recommended Services
Suppliers are not allowed to use the Expo logos and marks, to engage in such
businesses that will result in conflict of interest with the Expo sponsors or
the Expo market development partners, and to take any latent market behaviors
with regard to the Expo in any way.
Chapter IV Routine Management
Article 17 The Supervisor will enter into an "Agreement of
Recommended Services Suppliers" with the Recommended Services Suppliers, and
will take effective measures in supervising their service activities.
Article 18 The Supervisor is authorized to take routine
management upon the Recommended Services Suppliers, establish and maintain a
supervision and evaluation system, and periodically publish a performance review
report. It shall also give necessary instructions to the Recommended Services
Suppliers, helping improve their services.
Article 19 As of the effective date of the "Agreement of
Recommended Services Suppliers", the Recommended Services Suppliers shall submit
a written half-yearly performance report to the Supervisor, with detail
description of such information as the number of contracts (between the
Recommended Services Suppliers and the Expo participants), service scope of
work, contract cost, service team, service performance, feedback from the Expo
participants, and improvement measures.
Article 20 During the valid period of the "Agreement of
Recommended Services Suppliers", the Recommended Services Suppliers shall submit
a written report to the Supervisor in case of following matters within 48 hours
after the occurrence.
1. Change of company name or address of registration.
2. Change of legal representative.
3. A substantial change of registered capital or big shareholders.
4. Encounter serious business operation or financial problems.
5. Being involved in a big lawsuit or penalty.
6. Issues concerning company separation, merge, cancellation, dissolution or
bankrupt.
Chapter V Management on Settlement of Disputes
Article 21 During service provision, any dispute between the
Recommended Services Suppliers and the Expo participants should be resolved
through friendly negotiation; the Recommended Services Suppliers shall submit a
written report detailing the dispute, in a timely manner, to the Supervisor, who
shall then give proper instructions for a sound settlement or mediate a
settlement between them. In order to accelerate or ensure the preparation work
of the Expo, the Supervisor may ask the Recommended Services Suppliers to
temporarily leave aside the dispute and provide relevant services to the Expo
participants as required.
Article 22 Instructing and mediating effort and process made
by the Supervisor for settlement of disputes shall include:
1. Upon receipt of the dispute report from the Recommended
Services Suppliers or complaint from the Expo participants, the Supervisor will
carry out relevant investigations in a timely manner.
2. For disputes due to reasons of the Recommended Services
Suppliers, the Supervisor will give proper instructions to them for correction
or improvement, and give a timely feedback to the Expo participants. For
disputes inconsistent with the facts or disputes due to misunderstandings, the
Supervisor will also give a timely notification to the Expo participants after
coordination.
3. Disputes arising during the performance of contract, with
no settlement be reached through coordination and mediation made by the
Supervisor, should be resolved in accordance with relevant contractual
stipulations by the Recommended Services Suppliers and the Expo participants.
Article 23 The Recommended Services Suppliers are not
allowed to openly release any information concerning the disputes (between the
recommended Services Suppliers and the Expo participants) and the settlement, to
publicize or assist any third party in publicizing such information in any way,
except those activities as required by relevant laws and regulations.
Chapter VI Supplementary Articles
Article 24 The Bureau of Shanghai World Expo Coordination
reserves the right to interpret the Measures for Management, which will come
into effect as of its promulgation.
